1. Agreement Overview

These Terms and Conditions constitute the complete and binding agreement between the customer (“Client”) and Marine Inboard Specialists. No changes, additions, or deletions to this agreement will be valid unless approved in writing and signed by an authorized officer of Marine Inboard Specialists. Any conflicting terms from purchase orders or related documents are rejected unless explicitly accepted in writing by Marine Inboard Specialists.

Use of our services, submission of a purchase order, or acceptance of goods shall serve as the Client’s full and irrevocable acceptance of these terms.

2. General Terms

Marine Inboard Specialists provides inboard marine engines, marine generators, OEM parts, and professional vessel servicing in accordance with industry standards. Marine Inboard Specialists will not be liable for personal injury, death, or property damage except in cases where such damage is directly and solely caused by the gross negligence or willful misconduct of Marine Inboard Specialists.

Under no circumstances shall Marine Inboard Specialists’ liability exceed the lesser of fifty thousand U.S. dollars ($50,000) or the total value of the serviced vessel. Marine Inboard Specialists shall not be liable for consequential, incidental, special, or indirect damages, including but not limited to loss of revenue, detention, demurrage, salvage, or loss of use.

3. Force Majeure

Marine Inboard Specialists shall not be held responsible for delays or non-performance caused by events beyond its control, including but not limited to acts of God, natural disasters, labor strikes, supply chain disruptions, equipment failure, war, government actions, or extreme weather events.

4. Warranty

Marine Inboard Specialists warrants that the products and services it provides are consistent with recognized marine industry standards. The sole and exclusive remedy for breach of this warranty shall be, at the discretion of Marine Inboard Specialists:

  • Repair or replacement of the defective part
  • Refund of the purchase price
  • Referral to the original manufacturer under its warranty

This limited warranty is non-transferable and shall be deemed waived unless the Client submits a written claim within thirty (30) days of delivery of the part or service, or redelivery of the vessel, whichever comes first.

All warranties are void if full payment has not been received. Marine Inboard Specialists disclaims all other express or implied warranties, including warranties of merchantability or fitness for a particular purpose.

5. Insurance

The Client warrants that the vessel being serviced is fully insured for hull, machinery, and protection and indemnity (P&I), and that Marine Inboard Specialists shall be named as an additional insured with waiver of subrogation. The Client agrees to indemnify and hold Marine Inboard Specialists harmless from any claims, damages, or liabilities resulting from the Client’s failure to maintain such insurance coverage.

6. Legal Jurisdiction and Dispute Resolution

This agreement shall be governed by the federal maritime laws of the United States, or where inapplicable, the laws of the State of Ohio, excluding conflict of law rules.

For Clients in the United States:

Any disputes shall be litigated exclusively in the state or federal courts located in Sandusky, Ohio. The parties agree to waive any right to a jury trial.

For International Clients:

Disputes shall be resolved through arbitration in New York, New York under the Rules of the Society of Maritime Arbitrators. The decision of the arbitrators shall be final and binding. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

7. Payment and Pricing

Prices are valid for ten (10) days unless otherwise stated in writing by an authorized officer of Marine Inboard Specialists. Payment is due in full upon receipt of invoice. Late payments will accrue interest at 1.5% per month.

Returns unrelated to warranty issues are subject to no restocking fee. No returns will be accepted for special order parts, parts incorrectly ordered by the Client, or parts with damaged packaging. A return goods authorization number is required for all returns.

Marine Inboard Specialists reserves the right to refer unpaid accounts to legal counsel and recover all reasonable collection costs.

8. Delivery and Storage

Upon completion of services, Marine Inboard Specialists will notify the Client and issue an invoice. The Client must retrieve the vessel or equipment within three (3) business days of notification. After that, storage fees may apply.

Marine Inboard Specialists reserves the right to sell any property left in storage for more than thirty (30) days, at private sale, and apply proceeds toward the unpaid balance. The Client waives any objection to such sale or to the transfer of good title.

9. Environmental Compliance

The Client agrees to indemnify and hold Marine Inboard Specialists harmless from liability under any applicable environmental laws unless caused solely by the gross negligence of Marine Inboard Specialists.

If required under U.S. law, the Client must ensure that a valid Certificate of Financial Responsibility (Form CG-5358-10) is maintained while services are being rendered.

10. Optional Extended Warranties

Clients may request additional or more extensive warranties by entering into a written agreement prior to the commencement of work. The cost of additional insurance or liability coverage shall be reflected in the final service quote. Marine Inboard Specialists shall not be deemed an insurer under any circumstances.

11. Miscellaneous

Marine Inboard Specialists does not waive any maritime lien or legal right by providing these terms. If any part of these terms is deemed invalid or unenforceable, all remaining provisions shall remain in full effect.

All payments shall be made to Marine Inboard Specialists at its principal place of business in Sandusky, Ohio. Wire transfers, if used, shall be deemed to have occurred in Ohio.
